Domenick Leonardi heads VMM’s General Counsel Services practice and is a key member of the Business & Transactional Law department and Real Estate Transactions practice.
With more than 35 years of combined experience in business and law, Mr. Leonardi has served as a legal and strategic advisor to a diverse range of business clients across a variety of industries, including retail, food and beverage, hospitality, real estate management and investment, fitness, health and beauty, and entertainment.
He provides real-world legal counseling with an insightful, practical approach to each business deal, developed from his extensive experience as a successful business owner and corporate attorney. He treats each client’s business as his own, understanding their needs having “walked a mile in their shoes.”
Mr. Leonardi represents clients ranging from small, starting businesses to large national corporations, in matters involving mergers and acquisitions, business entity formations and agreements, commercial contracts, corporate governance, licensing, compliance, regulation, commercial real estate acquisitions, dispositions, and financing, as well as leasing of properties including retail, office, industrial, mixed-use, malls, and strip centers.
As Fractional Counsel/Outsourced General Counsel, he assists clients with all aspects of their business, collaborating with company departments and C-suite executives to ensure legal strategies align with business objectives.
His work regularly includes structuring, negotiating, and closing sophisticated commercial transactions, as well as providing general day-to-day business and legal counseling involving sales and acquisitions, buyouts, reviewing, drafting and negotiating commercial contracts, financing, risk mitigation, intellectual property rights, and resolving contract disputes.
Mr. Leonardi has significant experience representing food and beverage owners on corporate, real estate, and liquor license matters. He also works with local musicians on recording and live performance agreements.
